These Terms govern your access to and use of the Silki platform. Please read them carefully before using the platform.

1. Acceptance of Terms

By accessing, browsing, or using the Silki website, mobile application, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"). Your use of the Platform constitutes your acceptance of these Terms in their entirety.

If you do not agree to these Terms, you must immediately cease all use of the Platform. These Terms constitute a binding legal agreement between you ("User," "you," or "your") and Silki ("Silki," "we," "us," or "our").

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Platform Description

Silki is a local peer-to-peer marketplace that enables users to buy and sell goods and services directly with one another ("Transactions"). Listings on the Platform expire within 48 hours of posting.

Silki is a venue, not a party to any Transaction. We do not buy, sell, own, inspect, or take possession of any items listed on the Platform. We do not guarantee the quality, safety, legality, or availability of any item or service listed. We do not guarantee that any buyer or seller will complete a Transaction.

3. Platform Fee

Silki charges a transaction fee of 10% of the gross transaction amount (the "Platform Fee") on each completed sale conducted through the Platform.

• Assessment: The Platform Fee is assessed at the time a Transaction is marked complete or payment is processed through the Platform, whichever occurs first.
• Deduction: The Platform Fee is automatically deducted from the seller's proceeds prior to disbursement.
• Non-Refundable: The Platform Fee is non-refundable under all circumstances, including in the event of a dispute, cancellation, refund, or chargeback.
• No Adjustment: The Platform Fee is calculated on the gross transaction amount, without deduction for taxes, shipping costs, or any other amounts.

4. Disclaimer of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILKI EXPRESSLY DISCLAIMS ALL LIABILITY OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH the use or inability to use the Platform; any Transaction conducted through or facilitated by the Platform; the quality, safety, legality, condition, or availability of any item or service listed; or the conduct of any user, buyer, seller, or third party.

5. Assumption of Risk

By using the Platform, you expressly acknowledge and voluntarily assume all risks associated with peer-to-peer commerce, including physical risk, financial risk, legal risk, counterparty risk, and data risk.

6. Sales Tax and Tax Responsibility

Each user is solely and exclusively responsible for determining, collecting, reporting, and remitting any and all applicable taxes arising from Transactions conducted through the Platform. Silki does not provide tax advice and does not collect or remit any sales tax on your behalf.

7. Acceptance of Risk for Transaction Loss

You expressly accept all risk of financial loss arising from any Transaction conducted through or facilitated by the Platform. Silki has no obligation to reimburse, compensate, or mediate any dispute or loss arising from a Transaction.

8. Indemnification

You agree to defend, indemnify, and hold harmless Silki, its owners, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or relating to your use of the Platform, your violation of these Terms, or any Transaction you participate in.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILKI'S TOTAL, AGGREGATE LIABILITY TO YOU EXCEED THE LESSER OF: (A) THE TOTAL PLATFORM FEES PAID BY YOU IN THE THIRTY (30) DAYS PRECEDING THE CLAIM; OR (B) FIFTY DOLLARS ($50.00).

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SILKI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Dispute Resolution & Arbitration

Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact Silki and attempt in good faith to resolve any dispute informally within thirty (30) days.

Binding Arbitration. Any unresolved dispute shall be resolved exclusively by binding individual arbitration administered by a recognized arbitration provider (such as JAMS or AAA).

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.

12. Suspension and Termination

Silki reserves the right to suspend, restrict, or terminate your access to the Platform at its sole discretion and without prior notice for any violation of these Terms or conduct harmful to the Platform, other users, or Silki.

13. Modifications to These Terms

Silki reserves the right to modify these Terms at any time. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.

14. General Provisions

These Terms constitute the entire agreement between you and Silki. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. You may not assign your rights under these Terms without Silki's prior written consent.
